Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between Kachiq ("Kachiq", "we", "us") and the business entity ("Merchant") accessing or using the Kachiq payment platform. By activating an account or using our API, you confirm that you have authority to bind your business to these Terms.
Kachiq is a B2B platform. Access is by invitation only and subject to successful completion of our KYB onboarding process.
2. Services
Kachiq provides the following services to approved Merchants:
- Card payment acceptance via T0/T1 KYB/KYB-approved processors
- Conversion and settlement of card proceeds into USDT/USDC stablecoins
- Atomic multi-wallet splitting via smart contracts on Arbitrum / Polygon
- WooCommerce plugin, REST API, and JavaScript SDK
- Multi-store management dashboard
We reserve the right to modify, suspend, or discontinue any feature with reasonable notice, except where immediate action is required for security or compliance reasons.
3. Merchant Eligibility & KYB
To use Kachiq you must:
- Be a legally registered business entity
- Pass our KYB verification process, including director and beneficial owner identification
- Operate only in product categories pre-approved during your KYB assessment
- Maintain compliance with all applicable laws in your operating jurisdiction(s)
You must notify us immediately of any material change to your business, ownership, or product categories.
4. Permitted Use
You may use Kachiq solely to process genuine transactions for products and services within your approved categories. You must not use Kachiq to:
- Process transactions for products outside your approved KYB category
- Facilitate money laundering, fraud, or any illegal activity
- Conduct transaction laundering or submit transactions on behalf of undisclosed merchants
- Circumvent chargeback monitoring or dispute processes
- Attempt to reverse-engineer, exploit, or disrupt the platform
5. Fees & Settlement
Kachiq deducts a platform fee (specified in your Merchant Agreement) from each settled transaction before distributing proceeds to your configured wallets. Fees are non-refundable once a transaction has settled on-chain.
Settlement is executed via smart contract and is irreversible once confirmed on-chain. We are not responsible for losses arising from incorrect wallet addresses configured by the Merchant.
Kachiq does not guarantee processor availability. Settlement timelines are indicative (typically 30–60 seconds) but may vary due to blockchain network conditions.
6. Chargebacks & Disputes
You are solely responsible for chargebacks arising from transactions processed through your stores. Kachiq may, at its discretion, suspend settlement or terminate your account if your chargeback ratio exceeds thresholds set by our processor network.
You must maintain adequate reserves and dispute management processes independently of Kachiq.
7. API Credentials & Security
You are responsible for the security of your API keys, webhook secrets, and any credentials issued to you. You must not share credentials, store them in insecure locations, or permit unauthorised third parties to access them. Notify us immediately at security@kachiq.com if you suspect a compromise.
8. Intellectual Property
All platform software, APIs, documentation, and trademarks are and remain the exclusive property of Kachiq. We grant you a limited, non-exclusive, non-transferable licence to use our API and SDK solely to integrate our payment services into your approved stores. No other rights are granted.
9. Confidentiality
Each party agrees to keep the other's non-public business information, technical specifications, and commercial terms confidential and not to disclose them to any third party without prior written consent, except as required by law.
10. Limitation of Liability
To the maximum extent permitted by law, Kachiq's total liability to you for any claim arising from or related to the platform shall not exceed the fees paid by you in the 3 months preceding the event giving rise to the claim.
Kachiq is not liable for: indirect or consequential losses; loss of revenue or profits; blockchain network failures or delays; processor outages; or losses arising from your breach of these Terms.
11. Termination
Either party may terminate this agreement with 30 days' written notice. Kachiq may suspend or terminate access immediately if you breach these Terms, exceed chargeback thresholds, or if required by a processor or regulatory authority.
On termination, outstanding settlements will be processed within 10 business days, subject to any holds required for dispute resolution.
12. Governing Law
These Terms are governed by the laws of the jurisdiction specified in your Merchant Agreement. Any disputes shall be resolved by binding arbitration in that jurisdiction, except that either party may seek injunctive relief in a court of competent jurisdiction.
13. Changes to These Terms
We will provide at least 14 days' notice of material changes by email to your registered address. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
